Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Queuerd platform, including our website at queuerd.com, dashboard, APIs, SDKs, and all related services (collectively, the "Service"), operated by Patmos Software LLC ("Patmos", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.


1. The Service

Queuerd is a virtual waiting room platform that allows websites and applications to manage traffic spikes by placing visitors in a controlled queue. The Service includes:

  • Edge middleware and queue engine
  • Tenant dashboard for configuration and monitoring
  • Client-side JavaScript snippet
  • Server-side SDK (@queuerd/sdk)
  • REST API
  • Waiting room infrastructure

2. Accounts and Registration

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use and is not directed at consumers for personal use.

2.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at security@queuerd.com if you suspect unauthorized access.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it updated.


3. Plans and Payment

3.1 Free Plan

We offer a free tier subject to usage limits described at queuerd.com/pricing. We reserve the right to modify or discontinue the free tier with 30 days' notice.

3.2 Paid Plans

Paid subscriptions are billed monthly or annually as selected at checkout. All fees are in US dollars unless otherwise stated.

3.3 Billing

By providing a payment method, you authorize Patmos Software LLC to charge your payment method for all fees incurred. Subscription fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

3.4 Overages

If your usage exceeds the limits of your plan, we may charge overage fees as described on our pricing page, or we may downgrade or restrict your access until the next billing cycle.

3.5 Taxes

You are responsible for all applicable taxes. We will add taxes where required by law.

3.6 Cancellation

You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of the current billing period. You will retain access until then.

3.7 Price Changes

We will provide at least 30 days' notice before increasing prices for existing subscriptions.


4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Use

You agree not to:

  • Use the Service to facilitate illegal activities
  • Attempt to circumvent, disable, or interfere with the Service's security features
  • Reverse engineer or attempt to extract source code from the Service
  • Use the Service to process, store, or transmit malicious code
  • Resell or sublicense the Service without our written consent
  • Use the Service to send unsolicited communications
  • Exceed rate limits or use the API in a manner that causes excessive load
  • Misrepresent your identity or affiliation when using the Service
  • Use the Service in a way that violates the rights of third parties

4.3 Your Visitors

You are solely responsible for your visitors' experience and for ensuring that your use of the Service complies with all applicable laws, including consumer protection laws in your jurisdiction.


5. Tenant Configuration and Data

5.1 Your Configuration

You control all configuration of the Service for your domain, including capacity limits, admission rates, waiting room branding, protected paths, and integration method. You are responsible for testing your configuration before deploying it to production traffic.

5.2 Visitor Data

The Service processes minimal visitor data (anonymous visitor identifiers, IP addresses, queue position, and wait times) solely to provide the queuing functionality. You retain ownership of all data generated through your use of the Service.

5.3 No Sensitive Data

The Service is not designed to process payment card data, health information, government identification numbers, or other sensitive personal data. Do not configure the Service to intercept or log such data.


6. Intellectual Property

6.1 Our IP

Patmos Software LLC retains all right, title, and interest in the Service, including all intellectual property rights. These Terms do not grant you any rights in our trademarks, logos, or brand features.

6.2 Your IP

You retain all rights to your content, domain, brand, and any customizations you create using the Service. By using the Service, you grant Patmos a limited license to display your logo and domain name in your waiting room as configured by you.

6.3 Feedback

If you provide us with feedback or suggestions about the Service, we may use that feedback without restriction or compensation to you.

6.4 Branding on Free Plan

On the Free plan, the waiting room displayed to your visitors will include a "Powered by Queuerd" attribution link. This attribution may be removed on Pro and Enterprise plans.


7. Confidentiality

Each party may have access to the other's confidential information in connection with the Service. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties without prior written consent, except as required by law.


8. Service Availability and SLAs

8.1 Free and Pro Plans

We strive for high availability but do not provide a formal SLA for Free or Pro plans. We will make reasonable efforts to maintain availability and notify you of planned maintenance.

8.2 Enterprise Plans

Enterprise plans include a Service Level Agreement as specified in the Enterprise Order Form. In the event of a conflict between these Terms and the Enterprise Order Form, the Order Form controls.

8.3 Maintenance

We reserve the right to perform scheduled maintenance, during which the Service or parts of it may be temporarily unavailable. We will provide advance notice where practical.


9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PATMOS SOFTWARE LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATMOS SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).


11. Indemnification

You agree to indemnify, defend, and hold harmless Patmos Software LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any claim by your visitors related to your use of the Service.


12. Termination

12.1 By You

You may terminate your account at any time by canceling your subscription and deleting your account from the dashboard.

12.2 By Us

We may suspend or terminate your access to the Service immediately, without notice, if: (a) you breach these Terms; (b) your account has unpaid fees; (c) we are required to do so by law; or (d) your use of the Service poses a security or legal risk.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be deleted. You may export your data before termination.


13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or legal proceedings shall be conducted on an individual basis and not as a class action.


14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the dashboard at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.


15. General

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any Order Forms, constitute the entire agreement between you and Patmos Software LLC regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.

15.3 Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.

15.4 Assignment

You may not assign these Terms or your rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

Neither party will be liable for delays or failures caused by circumstances beyond their reasonable control.
